  1. Term

This agreement is entered into on the above Effective Date. This agreement is valid for the term of the Recruiter being active on the ‘CySecK Placement Portal’, unless terminated earlier by either party.


  1. Purpose:

Government of Karnataka has setup a Centre of Excellence in Cybersecurity which is branded as CySecK and is funded by Karnataka Innovation and Technology Society (KITS). KSCST is the implementation agency for CySecK, with the purpose to promote a cyber-safe and conducive environment for industry collaboration, address skills gap, build awareness and foster innovation in the emerging technology field of cybersecurity.

The CySecK Placement Portal provides a platform for students, fresh graduates and working professionals to put forth their skills and internship and job interests and for companies to fulfil the intern / fresh graduate / experienced practitioner demands.

The CySecK placement portal has a workflow that tracks the selection, shortlist, offer, accept / reject process. The CySecK placement portal also has a recruiter registration and verification step to ensure that only authentic and verified companies appear on the portal.

  1. Confidentiality

For the purposes of this agreement, ‘Confidential Information’ is defined as information and data of any kind concerning any matters regarding, affecting or relating to the applicant and declared by the applicant in his/her profile on the CySecK Placement Portal.

Accordingly, to protect the Confidential Information that will be disclosed during the recruitment process on the CySecK Placement Portal, the Recruiter agrees as follows:

  1. Recruiter will hold the Confidential Information received from the internship/job applicants in strict confidence and will exercise highest degree of care to prevent disclosure to others.

  2. Recruiter will not disclose or divulge either directly or indirectly the Confidential Information to others unless first authorized to do so in writing by the applicant.

  3. Recruiter will not reproduce the Confidential Information nor use this information commercially or for any purpose other than candidate shortlisting, interviewing, processing hiring formalities.


  1. CySecK reserves the right to take disciplinary action, up to and including termination of the Recruiter from the ‘Placement Portal’, for violations of this agreement in addition to pursuing civil or criminal penalties.

  2. All provisions of this agreement will be applicable only to the extent that they do not violate any applicable law and are intended to be limited to the extent necessary so that they will not render this agreement invalid, illegal or unenforceable. If any provision of this agreement or any application thereof will be held to be invalid, illegal or unenforceable, the validity, legality and enforceability of other provisions of this agreement or of any other application of such provision will in no way be affected thereby.


  1. Force Majeure Event

Neither party will be liable for any failure or delay in performance of any obligation under this agreement to the extent such failure or delay is caused due to a force majeure event. The party having any such cause will promptly notify the other party, in writing, of the nature of such cause.

  1. Representations & warranties

Each party hereby represents and warrants that it is duly authorised to execute this agreement and that this agreement does not contravene any existing law or obligation by which the concerned parties are bound.

  1. Termination

Either party may terminate this agreement through provision of providing written notice of 30 days to the counter party. Notwithstanding anything stated under this agreement, either party may terminate this agreement where the counterparty is in breach of this agreement and fails to rectify to such breach within thirty (30) days of the receipt of a written notice from the party intimating the counterparty of the concerned breach.


  1. Governing Law and Jurisdiction

    1. This agreement shall be governed and construed in accordance with the laws of Republic of India.

    2. Any dispute that arises between the Parties shall be resolved through amicable means and negotiation. The disputes may be placed to the Executive Secretary, KSCST.

    3. In the event that the dispute cannot be resolved by this dispute resolution process and cannot be settled amicably through negotiations between the parties, such disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru.

  2. Press Releases

Any press-releases regarding this agreement, or the Parties, will need to be approved by both Parties prior to any release.


  1. No Financial Binding.

There shall not be any financial binding on part of both the parties.
